Terms of Business

The terms on which Servio provides business support services, unless your signed scope of work says otherwise.

These terms

These terms apply to all services provided by Servio Support Services Ltd. Where a signed scope of work or engagement letter says something different, that document takes precedence over these terms.

Scope of work

Every engagement begins with a written scope of work listing the tasks we take on, the tasks that remain yours, the systems we will use, the hours behind the fee and the reporting you will receive. We are not responsible for work that falls outside the scope.

Changes to scope are agreed in writing and take effect from the start of the following month unless both parties agree otherwise.

Fees and payment

Fees are quoted per engagement once the scope is agreed, and are charged monthly in advance unless stated otherwise. Invoices are payable within 14 days by bank transfer.

We may charge interest on overdue amounts at 4% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. Work outside the agreed scope is quoted separately before it starts.

Your responsibilities

To do the work we need timely access to the systems, records and people named in the scope. You remain responsible for the following.

  • Providing accurate and complete information
  • Granting and maintaining the access the scope requires
  • Making all commercial, financial and legal decisions
  • Approving anything that commits you to third parties
  • Meeting your own statutory filing and compliance obligations

What we do not do

We provide administrative and bookkeeping support. We do not provide regulated advice of any kind — legal, tax, accountancy, financial, insurance or HR. We do not sign documents, authorise payments or make decisions on your behalf. Where a decision is needed, we prepare the information and put it to you.

Confidentiality

Each party keeps the other's confidential information private, both during the engagement and after it ends. We use your information only to deliver the services. Our staff and remote team members are bound by written confidentiality undertakings.

Liability

We will carry out the services with reasonable care and skill. We are not liable for loss arising from inaccurate or incomplete information supplied to us, from decisions you make, or from delays outside our control.

Our total liability in connection with an engagement is limited to the fees paid in the twelve months before the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

Term and termination

Agreements are rolling and monthly. Either party may end the engagement by giving one month's written notice. We may suspend services if an invoice is more than 30 days overdue, after telling you first.

On termination we complete work already paid for, hand back your records in an organised and documented form, and delete our copies within 30 days except where we must keep them for legal or accounting reasons.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

This page is a plain-English summary of our practices. It is not legal advice, and it does not replace the signed scope of work that governs an engagement.

Something here unclear?

Ask us before you sign anything. We would rather answer a question twice than have it misunderstood once.
